Non-Disclosure Agreement
NON-DISCLOSURE AGREEMENT
I. INTRODUCTION
This is an Agreement between [Name of Employee] and [Name of Company] in which [Name of Employee] agrees not to disclose, reveal, or impart trade secrets belonging to said Company.
II. AGREEMENT
In consideration of being made privy to having access to privileged, trade-secret information belonging to Company, hereby agrees not to disclose this information to third parties and to treat this information as a trade secret belonging solely to Company.
III. TRADE SECRET
All information relating to [Description of Matter], is considered privileged information and such will be treated as a trade secret.
IV. ATTORNEY FEES
Should any legal action arise in relation to this Agreement, the prevailing party shall be entitled to recover its full court costs, expenses, and reasonable attorneys fees.
V. EXECUTION
This Agreement is executed on [Date Executed] and shall remain in effect until the information included herein is no longer a trade secret or until Company sends written notice releasing him/her from the obligations of this Agreement, whichever event occurs first.
